1. Introduction

These Terms & Conditions ("Terms," "Agreement," or "Terms and Conditions") govern the provision of professional voice-over services by Lady Williams Voice Over ("Lady Williams Voice Over," "we," "us," or "our") to the individual, business, agency, production company, organization, or other entity purchasing or requesting voice-over services ("Client," "you," or "your").

By requesting, booking, approving, or paying for voice-over services, the Client acknowledges that they have read, understood, and agreed to these Terms.

These Terms are intended to establish clear expectations regarding the scope of services, payment, scheduling, delivery, revisions, usage rights, cancellations, and responsibilities of both parties.

A project quotation, estimate, invoice, booking confirmation, production agreement, or written proposal may contain additional project-specific terms. If a written project-specific agreement conflicts with these Terms, the project-specific agreement will control only with respect to that particular project.

2. Voice-Over Services

Lady Williams Voice Over provides professional voice-over recording services for projects that may include, but are not limited to:

  • Commercials and advertisements

  • Corporate videos

  • Training and educational materials

  • E-learning

  • Narration

  • Explainer videos

  • Social media content

  • Podcasts and audio productions

  • IVR and telephone systems

  • Audiobooks

  • Animation and character work

  • Promotional content

  • Internal business communications

  • YouTube and digital media

  • Other agreed-upon voice-over projects

The specific services, recording requirements, delivery format, turnaround time, usage, and fees will be determined based on the individual project.

3. Quotes, Estimates, and Project Scope

All quotes and estimates provided by Lady Williams Voice Over are based on the information supplied by the Client at the time the quote is prepared.

A quote may be affected by factors including:

  • Script length or word count

  • Recording duration

  • Number of characters or voices

  • Recording requirements

  • Number of separate files

  • Editing requirements

  • Turnaround time

  • Rush requests

  • Intended use of the recording

  • Geographic territory

  • Length of the usage period

  • Media or distribution platform

  • Paid advertising or promotional use

  • Exclusivity

  • Buyout or licensing requirements

  • Number of revisions

  • Additional production services

If the Client changes the scope of the project after a quote has been accepted, Lady Williams Voice Over reserves the right to adjust the fee accordingly.

Additional work that falls outside the original agreed scope may be billed separately.

4. Acceptance of a Project

A project may be considered accepted when any of the following occurs:

  1. The Client confirms the project in writing;

  2. The Client approves a quote or proposal;

  3. The Client provides a final script and requests recording;

  4. The Client submits payment or a required deposit;

  5. The Client otherwise authorizes Lady Williams Voice Over to begin production.

Once a project has been accepted and production has begun, cancellation fees may apply in accordance with these Terms.

 

5. Payment Terms

Unless otherwise agreed in writing, payment is due according to the payment terms stated on the applicable invoice.

Standard payment terms may include:

  • Full payment prior to recording;

  • Full payment upon delivery;

  • Net payment terms for approved business or agency clients; or

  • A deposit followed by a remaining balance for larger projects.

Lady Williams Voice Over reserves the right to require payment in full before releasing final, high-resolution, broadcast-ready, or unrestricted files.

Payment is considered complete only when the funds have successfully cleared.

 

6. Deposits for Larger Projects

For larger, extended, or higher-value projects, Lady Williams Voice Over may require a deposit before recording begins.

The deposit amount will be communicated to the Client before production begins and may vary depending on:

  • Total project value;

  • Length of the project;

  • Number of recording sessions;

  • Production schedule;

  • Client's requested deadline;

  • Scope of work;

  • Amount of preparation required; and

  • Any special recording or production requirements.

Unless otherwise agreed in writing, the deposit confirms the Client's commitment to the project and allows Lady Williams Voice Over to reserve production time.

A deposit may be non-refundable once substantial preparation, scheduling, recording, editing, or other project work has begun.

The remaining balance must be paid according to the agreed payment schedule.

7. Late Payments

Invoices must be paid by the stated due date.

If payment is not received by the due date, Lady Williams Voice Over may, at its discretion:

  • Suspend further work;

  • Withhold final deliverables;

  • Suspend usage rights until payment is received;

  • Charge reasonable late-payment fees where permitted by applicable law;

  • Require payment in advance for future projects; and/or

  • Pursue collection of outstanding amounts.

The Client may not use, distribute, publish, broadcast, advertise, sell, or otherwise exploit unpaid recordings unless written authorization has been provided by Lady Williams Voice Over.

Any collection costs or reasonable expenses incurred in recovering overdue payments may be charged to the Client to the extent permitted by applicable law.

8. Script Responsibility

The Client is responsible for providing a final, accurate, complete, and production-ready script before recording begins.

The Client is responsible for:

  • Spelling;

  • Grammar;

  • Names;

  • Pronunciation instructions;

  • Product names;

  • Company names;

  • Technical terminology;

  • Numbers and dates;

  • URLs;

  • Legal disclaimers;

  • Factual accuracy; and

  • Any other information contained within the script.

Lady Williams Voice Over will make reasonable efforts to follow pronunciation guides and instructions supplied by the Client

If the Client provides incorrect or incomplete information and a recording must subsequently be redone, additional recording fees may apply.

9. Script Changes and Re-Recording

Once recording has begun, significant script changes requested by the Client may be treated as additional work.

A re-recording may incur an additional fee when the change is caused by:

  • A revised script;

  • A change in wording;

  • A change in creative direction;

  • A change in pronunciation instructions;

  • A change in pacing or performance direction after approval;

  • Client error or omission;

  • New information supplied after recording; or

  • A change in project requirements.

Minor corrections caused by an error made by Lady Williams Voice Over will generally be corrected without an additional recording fee, provided the correction relates to the original approved script.

10. Revisions

Unless otherwise stated in the project quotation, the Client may request reasonable performance revisions related to the original approved script.

Revision requests must be specific and submitted within a reasonable period after delivery.

Examples of reasonable revisions may include requests such as:

  • Slightly faster or slower delivery;

  • Different emphasis;

  • A different tone;

  • Minor performance adjustments; or

  • Corrections to an agreed pronunciation.

Extensive revisions, multiple rounds of revisions, script rewrites, or changes to the original creative direction may incur additional fees.

Lady Williams Voice Over will communicate any additional charges before performing substantial additional work whenever reasonably possible.

11. Turnaround Times

Turnaround times will be agreed upon based on the project requirements and Lady Williams Voice Over's availability.

Standard turnaround times do not include delays caused by:

  • Late script delivery;

  • Late payment;

  • Missing project information;

  • Delayed Client approvals;

  • Requested revisions;

  • Technical issues outside reasonable control; or

  • Changes in project scope.

Rush or same-day services may be available at an additional fee, depending on scheduling and availability.

A rush fee may apply when a Client requests delivery outside the agreed standard production schedule.

12. Recording Sessions

For projects requiring live direction, the Client may request a directed recording session when available.

Directed sessions may be conducted through an agreed remote recording platform or another mutually acceptable method.

The Client is responsible for ensuring that all necessary decision-makers are available during the scheduled session.

If a Client or representative fails to attend a scheduled session without reasonable notice, the session may be considered completed or rescheduling fees may apply.

For longer sessions, additional fees may apply for time exceeding the originally agreed session duration.

13. Client Delays

Lady Williams Voice Over is not responsible for delays resulting from the Client's failure to provide:

  • A final script;

  • Payment;

  • Pronunciation information;

  • Creative direction;

  • Reference materials;

  • Technical specifications;

  • Required approvals; or

  • Other information necessary to complete the project.

If a project is delayed for an extended period due to the Client, Lady Williams Voice Over may require the project to be rescheduled based on current availability.

14. File Delivery

Completed recordings will be delivered in the format agreed upon for the project.

Typical delivery formats may include WAV, MP3, or another mutually agreed format.

Unless otherwise agreed, delivery includes the agreed recording and standard editing appropriate to the quoted service.

Additional editing, mastering, file splitting, naming conventions, noise reduction, processing, or specialized formatting may incur additional charges if they were not included in the original quote.

Final files may be withheld until all outstanding invoices have been paid.

15. Usage and Licensing Rights

Voice-over recordings are licensed to the Client for the specific purpose, platform, territory, duration, and usage identified in the project agreement or quote.

Payment for recording services does not automatically grant unlimited rights to use the recording for every purpose.

Unless expressly agreed otherwise in writing, the Client may not:

  • Resell the recording;

  • License the recording to another party;

  • Use the recording for a substantially different purpose;

  • Extend the usage period without authorization;

  • Use the recording in additional advertising campaigns;

  • Use the recording in media not covered by the original agreement;

  • Claim ownership of the underlying voice performance; or

  • Use the recording to train, develop, or improve artificial intelligence, voice-cloning, synthetic voice, or machine-learning systems.

Additional usage, expanded distribution, extended campaigns, paid advertising, national or international campaigns, broadcast use, or other expanded rights may require an additional licensing fee.

16. Artificial Intelligence and Voice Cloning

The Client may not use any recording supplied by Lady Williams Voice Over to create, train, develop, synthesize, clone, replicate, imitate, or generate an artificial or synthetic version of Lady Williams's voice without a separate written agreement expressly authorizing such use.

This restriction applies to artificial intelligence systems, machine-learning systems, voice-cloning software, synthetic speech systems, digital replicas, and substantially similar technologies.

Any authorized AI-related use must be separately negotiated and documented in writing, including the intended purpose, duration, territory, compensation, permitted technology, and limitations on use.

17. Ownership of Voice Performance

The voice performance remains the professional performance and intellectual property of Lady Williams Voice Over except to the extent specific rights are expressly licensed or transferred through a written agreement.

Payment for a recording does not automatically constitute a complete assignment of all rights in the performance.

Any transfer of ownership or buyout arrangement must be expressly stated in writing.

18. Cancellation by the Client

If the Client cancels a project before recording begins, any refund will depend on the circumstances of the cancellation and the amount of work already performed.

If recording, editing, preparation, scheduling, or other production work has already begun, the Client may be responsible for fees associated with work completed and time reserved.

For larger projects requiring a deposit, the deposit may be retained to compensate for reserved production time, preparation, scheduling, and work already performed, subject to applicable law and the specific project agreement.

If the Client cancels after substantial production has been completed, the Client remains responsible for payment for work completed up to the cancellation date.

19. Cancellation or Rescheduling of Recording Sessions

For scheduled live-directed sessions, reasonable advance notice of cancellation or rescheduling is expected.

If a session is cancelled or rescheduled with insufficient notice, a cancellation or rescheduling fee may apply.

The applicable fee may depend upon the length of the session, the amount of preparation involved, and whether the reserved recording time can reasonably be rebooked.

20. Cancellation by Lady Williams Voice Over

Lady Williams Voice Over reserves the right to decline or cancel a project when circumstances make completion unreasonable, unlawful, unsafe, technically impossible, or inconsistent with professional standards.

If Lady Williams Voice Over cancels a project before substantial work has been completed, any applicable refund will be handled according to the circumstances and the applicable agreement.

Lady Williams Voice Over will make reasonable efforts to communicate promptly with the Client regarding any circumstances affecting project completion.

21. Client Approval

The Client is responsible for reviewing delivered recordings promptly and confirming that the recording meets the agreed requirements.

Once the Client approves a recording, any subsequent changes caused by new creative preferences, script changes, or altered project requirements may be treated as additional work.

Approval may be provided verbally, electronically, by email, through a project management platform, or through another mutually accepted method.

22. Confidentiality

Lady Williams Voice Over will treat confidential materials supplied by the Client with reasonable care.

Confidential information may include:

  • Unreleased scripts;

  • Product information;

  • Marketing campaigns;

  • Business plans;

  • Internal communications;

  • Proprietary information;

  • Unreleased advertisements; and

  • Other information reasonably understood to be confidential.

Lady Williams Voice Over will not knowingly disclose confidential Client information to unauthorized third parties except where disclosure is required by law or reasonably necessary to provide the contracted services.

If a Client requires a separate Non-Disclosure Agreement ("NDA"), the parties may execute one before confidential materials are provided.

23. Portfolio and Promotional Use

Unless the Client requests otherwise in writing before publication, Lady Williams Voice Over may identify completed work in a professional portfolio, website, demo reel, social media, or promotional materials after the project has been publicly released.

Lady Williams Voice Over will not knowingly publicly disclose unreleased or confidential work without appropriate authorization.

Clients who require complete confidentiality or a prohibition on portfolio use should communicate this requirement before work begins.

24. Professional Conduct

Lady Williams Voice Over reserves the right to decline projects involving content that is unlawful, fraudulent, deceptive, discriminatory, abusive, or otherwise inconsistent with the professional standards or reasonable business practices of the voice artist.

If a project materially changes after acceptance in a way that creates such concerns, Lady Williams Voice Over may decline to continue the project.

Any cancellation and payment obligations will be addressed based on the work already completed and the circumstances involved.

25. Independent Contractor Relationship

Lady Williams Voice Over provides services as an independent contractor.

Nothing in these Terms creates an employment relationship, partnership, joint venture, agency relationship, or other business relationship between the Client and Lady Williams Voice Over except for the provision of the contracted services.

The Client does not have authority to represent or bind Lady Williams Voice Over unless expressly authorized in writing.

26. Client Responsibility for Legal Compliance

The Client is responsible for ensuring that its intended use of the voice-over recording complies with all applicable laws, regulations, advertising requirements, platform requirements, copyright obligations, and industry standards.

Lady Williams Voice Over is not responsible for determining whether the Client's script, advertising claim, product, service, or intended use complies with applicable law.

The Client is responsible for obtaining any necessary permissions, licenses, releases, or approvals relating to materials supplied to Lady Williams Voice Over.

27. Copyright and Third-Party Materials

The Client represents that it has the legal right to provide all scripts, music, sound effects, trademarks, images, names, or other materials supplied to Lady Williams Voice Over for use in connection with the project.

The Client agrees not to provide materials that knowingly infringe the intellectual property, privacy, publicity, or other rights of third parties.

The Client is responsible for obtaining any necessary third-party permissions.

28. Limitation of Liability

To the maximum extent permitted by applicable law, Lady Williams Voice Over will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the provision or use of voice-over services.

Lady Williams Voice Over's total liability relating to a particular project will, to the extent permitted by law, be limited to the amount actually paid by the Client for the specific services giving rise to the claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited under applicable law.

 

29. Force Majeure

Lady Williams Voice Over will not be considered in breach of these Terms for delays or failure to perform caused by circumstances beyond reasonable control.

Such circumstances may include:

  • Natural disasters;

  • Serious illness or emergency;

  • Power outages;

  • Internet or telecommunications failures;

  • Equipment failure;

  • Government actions;

  • Acts of war;

  • Civil unrest;

  • Labor disputes;

  • Cybersecurity incidents;

  • Widespread technology failures; or

  • Other circumstances reasonably beyond the control of Lady Williams Voice Over.

When reasonably possible, Lady Williams Voice Over will notify the Client and make reasonable efforts to reschedule or complete the work.

30. Disputes

The parties agree to make reasonable efforts to resolve any dispute through good-faith communication before pursuing formal legal action.

If a dispute arises, both parties should first attempt to discuss the issue and reach a mutually acceptable resolution.

If the dispute cannot be resolved informally, either party may pursue any remedies available under applicable law.

Nothing in this section prevents either party from seeking emergency or legally available remedies when necessary.

31. Governing Law

These Terms will be governed by and interpreted according to the laws of the jurisdiction applicable to Lady Williams Voice Over, without regard to conflict-of-law principles, unless a separate written agreement provides otherwise.

The parties agree that any legal proceedings will be brought in a court having appropriate jurisdiction, subject to applicable law.

32. Changes to These Terms

Lady Williams Voice Over reserves the right to update these Terms from time to time.

The Terms applicable to a particular project will generally be the version provided to or accepted by the Client at the time the project is booked, unless the parties subsequently agree in writing to updated terms.

33. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain in effect to the fullest extent permitted by law.

The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

34. Entire Agreement

These Terms, together with any applicable quote, invoice, proposal, booking confirmation, statement of work, or separate written agreement, constitute the agreement between the Client and Lady Williams Voice Over regarding the applicable services.

Any changes to the agreed project scope or material terms should be confirmed in writing.

35. No Waiver

Failure by Lady Williams Voice Over to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

A waiver must be expressly provided in writing.

36. Electronic Acceptance

Electronic acceptance of these Terms, including acceptance by email, online booking, electronic signature, payment, or written confirmation, may constitute acceptance of the Agreement to the extent permitted by applicable law.

By proceeding with a project after receiving these Terms, the Client acknowledges that they have had an opportunity to review them and agrees to comply with the applicable terms.

37. Client Acknowledgment

By booking or purchasing voice-over services from Lady Williams Voice Over, the Client acknowledges and agrees that:

  • The Client has reviewed these Terms and Conditions;

  • The Client understands the payment requirements;

  • The Client understands that deposits may be required for larger projects;

  • The Client understands that additional fees may apply for revisions, rush services, expanded usage, or changes in scope;

  • The Client understands that usage rights are based on the agreed project terms;

  • The Client understands that voice cloning or AI-related use requires separate written authorization;

  • The Client is responsible for providing accurate and final scripts;

  • The Client understands that unpaid recordings may not be used or distributed;

  • The Client agrees to communicate material project changes promptly; and

  • The Client agrees to these Terms as a condition of receiving services.
